GARBAGE PAIL KIDS "BUILD A KID" CONTEST #3 OFFICIAL RULES

THE GARBAGE PAIL KIDS "BUILD A KID" CONTEST #3 ("CONTEST") IS OFFERED ONLY IN THE UNITED STATES AND IS OPEN ONLY TO LEGAL RESIDENTS OF THE UNITED STATES (EXCLUDING ARIZONA, MARYLAND AND VERMONT) WHO ARE 6 YEARS OF AGE OR OLDER AND WHO HAVE INTERNET ACCESS PRIOR TO OCTOBER 4, 2004. Employees and directors of The Topps Company, Inc. ("Sponsor"), its parent, affiliates, subsidiaries, agencies and retailers/distributors of Topps products are not eligible. If you won a prize in the earlier Garbage Pail Kids"Build A Kid" Contest (i.e., Contest #1 or 2), you may enter this Contest; BUT, the Garbage Pail Kid submission that resulted in your receipt of a prize in Contest #1 or 2 CANNOT be entered in this Contest. Void in Arizona, Maryland, Vermont and where prohibited by law. MANY WILL ENTER, FEW WILL WIN.

1.TO ENTER:
Contest entries will be accepted from 12:01 a.m. Eastern Time ("ET") on October 4, 2004 to 11:59 p.m. ET on January 3, 2005 ("Contest Period"). Go to www.garbagepailkids.com and click on the "Enter" button. NOTE: Only computers on which the software program "Flash Player 6" is loaded will be able to view the web site; if the computer that you are using does not have this software program on it, click on the link on the introductory page of the www.garbagepailkids.com web site and follow the instructions to load "Flash Player 6" on the computer. If you are a minor, have your parent/legal guardian load "Flash Player 6" for you. It may then take your computer several minutes to load the homepage of the web site.

Once on the homepage (which contains the "Garbage Pail Kids" heading), click on the "Enter To Win The GPK Build-A-Kid! Contest" link. Again, it may take your computer several minutes to load the "Build A Garbage Pail Kid" page.

To build a Garbage Pail Kid, you must first register for the web site on the "Build A Garbage Pail Kid" page. To do so, click on the "Click Here To Register" link, enter your user name (in selecting a user name, it is recommended that you use an "alias" of some kind, as user names will be posted by Sponsor on the web site [for example, a nickname or a screen name]; do NOT use your first and/or your last name), a password and then confirm your password. If you are already registered with the web site, enter your user name and password to log into the web site when you first get to the "Build A Garbage Pail Kid" page.

After you have registered for or logged into the web site, you will be taken to a page that asks you to enter an "Online Bonus Code." Online Bonus Codes can be found in every pack of GARBAGE PAIL KIDS ALL-NEW SERIES 3 STICKERS and may also be offered in various promotions which will be outlined on the website. Each code may be redeemed for a bonus item to be used in building a Garbage Pail Kid including additional body parts, animations and sounds. Each valid, properly submitted code may be redeemed for one bonus item. You may use multiple bonus items in creating a single Garbage Pail Kid. While bonus items may enhance your Garbage Pail Kid creation, you do not need the bonus items to enter or win. If you have a code, enter it into the space provided and click on the "PROCEED WITH CODE" button. Be sure to input Online Bonus Code exactly as it appears. Each code can only be used once. If you do not have a code, click on the "PROCEED WITHOUT CODE" button to continue. Then click the "Click Here To Build A Kid" button. First, choose body parts (head, hair, hands), clothing and shoes for your Garbage Pail Kid. Next, click on the "Continue" button under "Continue To Add Some Gross Stuff To Your Kid." On the new "Now Add Some Gross Stuff To Your Kid" page that you are taken to, click and drag various items from the "Skin Defects," "Gross Fluids," "Gross Trash," " Animations" tabs as well as the "Bonus" tabs (which contains bonus item[s] available by redeeming Online Bonus Code[s]), if applicable, to add some "gross" finishing touches to your Garbage Pail Kid. Then, choose a background in front of which your Garbage Pail Kid will appear. Lastly, choose a name for your Garbage Pail Kid. Use your first name, a friend's first name or make a name up! Then add a gross word that rhymes, begins with the same first letter, or would just be a funny joke (for example "Luke Puke" or "Adam Bomb").Then click the "Build!" button.

You will then be taken to a confirmation page containing the message "Your Kid Is Saved!" On this page, you may: (1) send your Garbage Pail Kid to friend(s); and/or (2) build another, new Garbage Pail Kid; and/or (3) see all of your Garbage Pail Kid cards. Creation of a Garbage Pail Kid will NOT automatically result in entry in the Contest. To enter your Garbage Pail Kid in the Contest, click on the "See All of My Cards" link after you've built a kid and then click the "Enter In Contest" link next to the Garbage Pail Kids card(s) you wish to enter. You will then be prompted to provide your email address and date of birth. Then click on the "Enter" button. If you previously created Garbage Pail Kids card(s), such card(s) may also be entered in this Contest, provided that the card(s) did NOT result in your receipt of a prize in Contest #1 or 2.

All Contest entries must be received by 11:59 p.m. ET on January 3, 2005.

Online Bonus Codes may only be used in a manner which is consistent with these Official Rules. Codes have no cash value and cannot be redeemed or exchanged for cash. The purchase, sale, trading, assignment or other transfer of Codes is prohibited. Code will be rejected (and participant will not be able to access bonus item) if inputted Code is incomplete or otherwise does not exactly match the Code as it appears inside sticker package or elsewhere. For contest participation, codes must be used by 11:59 p.m. ET on January 3, 2005.

You may enter as many cards as you wish; however, each Garbage Pail Kid submitted for the Contest must be different in appearance and have a different name. All Contest entries become sole property of Sponsor.

Garbage Pail Kid built by participant ("Garbage Pail Kid") must be original work of participant; any assistance from other persons is prohibited. Name of Garbage Pail Kid should not be the same as or similar to the first and/or last name of any individual (including participant him/herself); and, the name must not violate the trademark or other rights of any third party. Other than the name of Garbage Pail Kid, Garbage Pail Kid may only include materials as contained in the "Build A Garbage Pail Kid" pages of the web site; in creating their Garbage Pail Kid, persons CANNOT introduce any elements not contained on these pages. Contest entries will be disqualified if name or appearance of Garbage Pail Kid is determined by Sponsor (in its sole discretion) to be profane, inappropriate or otherwise objectionable. Contest entries not satisfying these official rules in any respect (as determined by Sponsor in its sole discretion) will be disqualified.

Sponsor is not responsible for any computer, telephone, cable, satellite, network, electronic or Internet hardware or software malfunctions, failures, connections, availability or garbled or jumbled transmissions, printing, typographical or other errors in Codes, service provider/Internet/web site/use net accessibility or availability, traffic congestion, unauthorized human intervention or for inaccurate or incomplete capture or recordation of information related to the Contest (including but not limited to participants' Garbage Pail Kids).

By using the web site and building/submitting a Garbage Pail Kid, you (if you are a minor, your parent or legal guardian) understand and agree that the Terms Of Use of www.topps.com govern your (or, your parent/legal guardian's) rights with respect to the Garbage Pail Kid that you have created/submitted (including but not limited to the name of the Garbage Pail Kid). The Terms Of Use are incorporated in the Official Rules by reference. In part, the "User Submissions" section of the Terms of Use provides:

By submitting content to any public or non-public area of the website, including, but not limited to, message boards, forums, contests and chat rooms, you grant the Company and its affiliates the royalty-free, perpetual, irrevocable, sublicenseable (through multiple tiers), non-exclusive, worldwide right (including any moral rights) and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, communicate to the public, publicly perform and publicly display (in whole or in part), and/or to incorporate such content in other works in any form, media, or technology now known or later developed, for the full term of any rights that may now or ever exist in such content.

For further information regarding the ownership of materials submitted by users of Sponsor's web sites, it is strongly advised that you (if you are a minor, your parent/legal guardian) review the Terms Of Use.

2. WINNER DETERMINATION:
A panel of representatives of Sponsor's marketing department shall select 20 finalists by judging all eligible Garbage Pail Kids based on the following factors (taking into account the age of the participant who created the Garbage Pail Kid): creativity (33%), humor (33%), ability to capture the essence of Garbage Pail Kids (33%). In the event of a tie, the entry with the higher/highest score in the creativity factor will be the winner. The 20 finalists' Garbage Pail Kids will be posted on or about February 7, 2005. Visitors to the web site will then cast votes for how "Lame" or "Gross" they think the finalists' Garbage Pail Kids are. Voting will be scored on a scale of 1 - 10, with 1 being the lowest ("Lamest") and 10 being the highest ("Most Gross"). To be accepted, votes must be a whole number (no fractions or decimals) between 1 and 10.

Sponsor shall tabulate the scores and display on the voting section of the home page a ranking of the scores of the 20 finalists' Garbage Pail Kids; this ranking is the "Top Grossest Kid" Leader Board. The user name of all finalists and the cumulative score received by their entered Garbage Pail Kids will be displayed, from the highest to lowest score. The final ranking of Garbage Pail Kids will occur on or about March 7, 2005.

In the event of a tie in the final ranking of Garbage Pail Kids, a panel of representatives of Sponsor's marketing department shall determine the winner by judging all such tied Garbage Pail Kids based on the following factors (taking into account the age of the participant who created the Garbage Pail Kid): creativity (33%), humor (33%), ability to capture the essence of Garbage Pail Kids (33%). If necessary, the judging will occur on or about March 14, 2005.

TO VOTE.
After February 7, 2005 at 12:01 a.m. ET, once on the homepage of the web site, click on the "Vote For The Grossest Garbage Pail Kid" link. Then click on the pulsating "Vote For The Grossest Kid" link on the "Build A Garbage Pail Kid" page. Scroll through the Top Grossest Kid Leader Board and click on the "Card Name" link of the card you want to vote on. The card will appear on the right side of the page. Then, enter your score (from 1 - 10) for that card. The page will then automatically reload and you will be able to vote on another Garbage Pail Kid card. You may vote on as many Garbage Pail Kid cards as you like; but, you may only one vote on each card once. All votes must be received by 11:59 p.m. ET March 7, 2005.

It is NOT necessary to register on the web site or enter the Contest in order to vote.

3. PRIZES.
Grand Prize (1, person whose Garbage Pail Kid has the highest "gross" score and therefore the highest position in the final ranking of Garbage Pail Kids) - one box of Garbage Pail Kids stickers (Approximate Retail Value - $25), an artist's rendering of the winner's Garbage Pail Kid (Approximate Retail Value - $800.00) and winner's Garbage Pail Kid may be used by Sponsor as the basis for a new Garbage Pail Kid sticker.

If Sponsor, in its sole discretion, decides to use winner's Garbage Pail Kid (in whole or in part), design, content and all other elements of production of Garbage Pail Kids card will be at the sole discretion of Sponsor. Winner (if a minor, his/her parent/legal guardian) further agrees that: (1) Sponsor may (but is NOT obligated to) use winner's Garbage Pail Kid (in whole or in part) without notification or compensation to winner and/or his/her parent/legal guardian; (2) that Sponsor will have no liability to winner and/or his/her parent/legal guardian if, for any reason, a new Garbage Pail Kids card is not created based on winner's Garbage Pail Kid; (3) in accordance with the Terms Of Use, by using www.garbagepailkids.com and creating/submitting a Garbage Pail Kid, winner (if a minor, his/her parent/legal guardian) has granted to Sponsor the worldwide right and license to use his/her Garbage Pail Kid without compensation; and (4) winner (if a minor, his/her parent/legal guardian) will sign any and all documentation which Sponsor deems necessary to confirm, record or perfect the grant of rights in the winner's Garbage Pail Kid.

First Prize (19, persons whose Garbage Pail Kids were ranked #2-20 in the final ranking of Garbage Pail Kids) - one box of Garbage Pail Kids stickers. Approximate Retail Value - $25 each.

Approximate retail value of Garbage Pail Kids cards or artist's rendering of Grand Prize winner's Garbage Pail Kid does not represent resale value. Resale value of Garbage Pail Kids cards and artist's rendering of Grand Prize winner's Garbage Pail Kid may vary, depending on market conditions.

Winners will be notified by email approximately 14 days after the final ranking of Garbage Pail Kids.

IF A WINNER IS 13 YEARS OF AGE OR OLDER:
(a) Grand Prize winner will receive email notification with an affidavit of eligibility, liability release and publicity release (where legal) attached thereto. Grand Prize winner (if a minor, his/her parent/legal guardian) must complete, sign and return the affidavit/release within 14 days of date of notification enclosing same. Affidavit/release is to be returned via first class mail; certified mail service is recommended.
(b) First Prize winners will receive email notification requesting their complete mailing address for shipment of prize. First Prize winner (if a minor, his/her parent/legal guardian) must respond via return email within 14 days with complete mailing address. First Prize will be shipped via first class mail.

IF A WINNER IS UNDER 13 YEARS OF AGE:
In addition to the affidavit/release or requested provision of mailing address (as appropriate), the email notification will contain as attachments a parental consent form and a copy of the Topps Privacy Policy. The parental consent form and Topps Privacy Policy must be forwarded by winner to his/her parent/legal guardian for review. The winner's parent/legal guardian must then complete and sign the parental consent form. The parental consent form and affidavit/release (if appropriate) must be returned within 14 days of date of notification enclosing same. Parental consent form (and affidavit/release, if appropriate) is to be returned via first class mail; certified mail service is recommended. IF THE PARENTAL CONSENT FORM IS NOT PROPERLY COMPLETED AND RETURNED, THE PRIZE WILL BE FORFEITED.

In the event of noncompliance with the above requirements (as applicable) or if prize notification is returned as undeliverable, such prize will be forfeited and an alternate winner may be selected (the alternate winner being the person whose Garbage Pail Kid was ranked immediately below the Garbage Pail Kid of the person who forfeited his/her prize). Selection of alternate winner depends upon whether there are other participant(s) whose Garbage Pail Kids card(s) are ranked below the participant(s) who forfeited his/her prize(s).

Limit one prize per person/family/household. Prizes may not be assigned or transferred. No prize substitution except at Sponsor's sole discretion due to prize unavailability for any reason and only then for a prize of equal value. If won by minor, prize will be awarded to winner's parent/legal guardian on his/her behalf.

4. GENERAL CONDITIONS:
Taxes on prize (if any) are the sole responsibility of the winner. Sponsor is not responsible for any incorrect or inaccurate information, whether caused by web site users, tampering, hacking, or by any of the equipment or programming associated with or utilized in the Contest and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the www.garbagepailkids.com web site. Sponsor is also not responsible for lost, late, damaged, incomplete, misdirected, illegible parental consent forms/affidavit/releases/email or postage due mail.

Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds, in its sole discretion, to be tampering with the operation of the Contest (including but not limited to the voting procedure and the creation of Garbage Pail Kids) or web site, to be in violation of the Terms Of Use, or to be acting in violation of the Official Rules. Any attempt to defraud Sponsor will also result in disqualification. Sponsor may prosecute any fraudulent activities to the full extent of the law. Sponsor is not responsible for injury or damage to participants' or to any other person's computer related to or resulting from participating in this Contest or downloading materials from or use of the web site.

While every reasonable effort will be made to compile and post an accurate and complete "Top Grossest Kids" Leader Board, Sponsor disclaims any and all responsibility for technical errors of any kind which may cause inaccurate or incomplete information/materials to be reflected on the "Top Grossest Kids" Leader Board or elsewhere on the web site. Sponsor further reserves the right to correct any errors or otherwise revise the "Top Grossest Kids" Leader Board and/or other areas of the web site after posting of same without liability of any kind.

Any form of participation except as expressly permitted under these Official Rules is void. Use of robotic, automatic, programmed or like methods of participation is prohibited. Any person who uses any fraudulent measures to rig the voting for his/her Garbage Pail Kid or otherwise to improperly increase the total number of votes received by his/her Garbage Pail Kid will be disqualified.

If the Contest is not capable of running as originally planned by reason of infection by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor which, in the sole opinion of Sponsor, corrupts or affects the administration, security, fairness, integrity or proper conduct of the Contest, Sponsor reserves the right at its sole discretion to cancel, modify or suspend the Contest. In such event, Sponsor shall conduct the Contest and determine winners in a manner which is fair, appropriate and consistent with these Official Rules, as determined by Sponsor in its sole discretion. Notice of such cancellation/modification/suspension will be posted on the web site.

5. AGREEMENT TO OFFICIAL RULES/RELEASES.
Participant (if a minor, his/her parent/legal guardian) (1) agrees that participant will abide by and be bound by these Official Rules and all decisions of Sponsor, which are final and binding in all respects; (2) releases and agrees to hold harmless The Topps Company, Inc., its parent, affiliates, and subsidiaries, and the directors, officers, agents, representatives, shareholders and employees of any of the above entities, from any and all liability arising (directly or indirectly, in whole or in part) from participant's participation in the Contest or the acceptance, receipt, possession or use/misuse of any prize. Where legal, by accepting prize, winner (if a minor, his/her parent/legal guardian) agrees to the use of winner's name, address (city, state), photograph, videotape, or any likeness for advertising or publicity purposes, and any and all rights to said use, without notice or further compensation.

6. WINNERS LIST: For name of Grand Prize winner, mail a self-addressed, stamped envelope to GARBAGE PAIL KIDS "BUILD A KID" CONTEST #2, P.O. Box 859, Bowling Green Station, New York, NY 10274-0859, for receipt by April 11, 2005. Or, go to www.garbagepailkids.com, after April 11, 2005.
